Senior Deputy Counsel (Experience with Self-Funded and/or PBM Contracting)

The Deputy Counsel, Affiliates-Senior shall develop/maintain expertise and oversight responsibilities for legal issues related to Independent Health’s pharmacy benefit manager and specialty pharmacy. In addition, the Deputy Counsel, Affiliates-Senior shall be responsible for research, drafting documents, handling complex contractual, regulatory and transactional issues from commencement to closing and assisting the General Counsel and other members of the legal department as directed. 


  • Juris Doctor Degree; Admitted to practice law in the United States. 
  • Six (6) years of law firm experience/in-house counsel experience with health law, self-funded business, employee benefits law and/or pharmacy regulatory compliance required. 
  • Knowledge of and familiarity with self-funded and or pharmacy benefit contracting and some familiarity with one or more of the following areas is helpful: ERISA; Medicare Part D; and State and Federal regulatory requirements for pharmacy benefit managers and/or pharmacies. 
  • Proven ability to negotiate and work with clients on various forms of agreements and contracts, including administrative services agreements, business associate agreements, data sharing agreements, participating pharmacy agreements and drug manufacturer pricing agreements. 
  • Ability to assume leadership role and maintain client confidence. This includes the ability to understand business objectives and to provide legal advice in a business context. 
  • Legal research experience with excellent written and oral communication skills; strong interpersonal and negotiation skills. 
  • Strong academic background. 
  • Knowledge and experience in dealing with Federal and State regulatory entities.

Essential Accountabilities 

  • Work independently and assist the General Counsel and other members of the legal department as needed. Focus areas include counseling IHA’s pharmacy benefits manager and specialty pharmacy on a wide range of legal and regulatory matters, primarily helping with negotiations for contracting with clients for pharmacy benefits work, and implementing business practices to comply with applicable State and Federal law.  Specialty pharmacy work will include advancing contracting opportunities afforded to under federal authority such as the 340B drug pricing program and Medicare’s Any Willing Provider regulations. 
  • Senior Deputy Counsel will work with client groups to develop a collaborative relationship and to understand their business unit strategies, goals, and priorities, as well as their culture and risk management standards. 
  • Maintain an awareness of applicable laws and regulations as well as industry and market best practices to contribute ideas and efforts to the achievement of strategic and business goals. 
  • Ensure IHA business units and affiliates receive appropriate legal counsel and services through in-house legal team or outside legal counsel in areas of responsibility. 
  • Research legal cases and issues as needed. 
  • Draft, review and approve contracts and documents for signature by the applicable department Executive team member or delegate. 
  • Review proposed State and Federal rules and regulations and provide analysis regarding same. 
  • Draft correspondence, memoranda, briefs, etc., concerning legal issues. 
  • Represent legal department at assigned committee meetings as assigned by General Counsel. 
  • Represent IHA and other entities by attending various Board, Committees and staff meetings as directed by General Counsel. 
  • Participate in negotiations, including with government regulators, employer-sponsored group health plans, pharmacies, and drug manufacturers. Operate in a leadership position when developing and drafting position statements, arguments and responses to regulatory and other outside inquiries or demands.
